Management Mandate

The management team has committed to use their best efforts to complete a business combination within 12 months of the IPO closing. Management will not earn any compensation from the trust account proceeds until a business combination is completed. The founders have agreed to forfeit their shares if no business combination is completed within the required timeframe, aligning management interests with those of public shareholders.
